Applicable Law.
This Agreement shall be treated as though it was executed and performed in Delaware, California, and shall be governed and construed in accordance with the laws of the State of California(without regard to conflict of law principles). The language in this Agreement shall be interpreted in a neutral manner and in accordance with their fair meaning. Any rule of law or legal decision that would require interpretation of any ambiguities in this Agreement against the party that has drafted them is not applicable and is waived. All legal proceedings arising out of, or in connection with, this Agreement shall be brought solely in Delaware, California. You expressly submit to the jurisdiction of the federal and state courts located in Delaware, California, and you consent to extra-territorial service of process. ATAI makes no warranties or representations that materials on this site are appropriate or available for use in other locations and accessing them from territories where their contents are illegal is prohibited. Those who choose to access this Site from other locations do so on their own initiative and are responsible for compliance with local laws.
Disclaimer of Liability
The information and services on our Sites are provided on an “as is” and “as available” basis. ATAI does not guarantee the accuracy, completeness, or timeliness of the content available on our Sites. Indemnification
You agree to protect, defend, and hold harmless ATAI and its affiliates, directors, officers, employees, agents, and vendors from any liabilities, losses, damages, and expenses (including attorneys' fees and court costs) arising from or related to your use of the Sites. This includes claims resulting from libel, defamation, infringement of privacy or publicity rights, property damage, or infringement of intellectual property or other rights. Should any such claim arise, ATAI will promptly inform you, and you may participate in the defense of such claim as long as your participation does not harm ATAI’s interests, as determined by ATAI.
Limitation on Liability
ATAI’s total liability for any claims arising from or related to the Sites is limited to the greater of $500 or the amount you paid to ATAI for services or content within the last twelve months. This limitation applies to all claims, regardless of their nature (contract, tort, otherwise), except in cases of gross negligence or intentional misconduct by ATAI, or where such limitations are not allowed by applicable law.
Miscellaneous
Supremacy of Agreement: If there is any conflict between the terms in this Agreement and information elsewhere on this Site, the terms of this Agreement will prevail.
Reservation of Rights: All rights not explicitly granted in this Agreement are reserved by ATAI. This Agreement does not grant any rights or remedies to any person other than the parties to this Agreement.
Severability: If any part of this Agreement is found to be invalid or unenforceable, the remaining terms will still be effective.
Non-Waiver: A party's failure to enforce any provision of this Agreement does not waive the provision or the right to enforce it in the future.
